1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of SCAN—Site Compliance & Analysis Network—and related websites, applications, and services (collectively, the "Service"). The Service is operated by C2IT Labs, which is the development division of C2IT Consulting, Inc. ("we," "our," or "us"). By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

SCAN is an agency website audit platform that provides scanning, analysis, and reporting tools for websites. We offer various scan types (e.g., structure, accessibility, performance, technology, SEO), project and company management, scheduled scans, and report sharing. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice where practicable.

3. Accounts and Acceptable Use

You must provide accurate information when registering and keep your account information current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service to violate any law, infringe others' rights, transmit malware, attempt to gain unauthorized access to our or others' systems, or overload or disrupt the Service. You are responsible for ensuring that any sites you scan and the manner in which you use scan results comply with applicable law and with the rights of site owners.

4. Payment and Billing

Fees for scans and other paid features are as described on our Pricing page and in the Service. You agree to pay all applicable fees. Payment is typically processed through our designated payment provider (e.g., Stripe). Refund and cancellation policies are as stated in the Service or as required by applicable law. We may change pricing with reasonable notice; continued use after changes constitutes acceptance.

5. Intellectual Property

The Service, including its design, software, text, graphics, and other content we provide (excluding your data), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business use in accordance with these Terms. You retain ownership of your data (e.g., project names, scan configurations, content you upload). You grant us the rights necessary to operate the Service and to use your data as described in our Privacy Policy.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SCAN RESULTS AND REPORTS ARE FOR INFORMATIONAL AND ANALYSIS PURPOSES; YOU USE THEM AT YOUR OWN RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, C2IT LABS AND C2IT CONSULTING, INC., AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER). Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless C2IT Labs, C2IT Consulting, Inc., and their officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights or applicable law.

9. Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms, fraud, or abuse, or for any other reason with notice where practicable. You may stop using the Service at any time. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including limitations of liability, indemnification, and governing law) will survive termination.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Maryland, and you consent to personal jurisdiction and venue there.

11. Changes to the Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may provide additional notice (e.g., by email or a notice in the Service). Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.

12. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision. These Terms, together with our Privacy Policy and any other policies we reference, constitute the entire agreement between you and us regarding the Service.
